TERMS OF SERVICE

Clear terms.
You stay in control.

Verdikx builds the case. You decide what is submitted, by hand or through Autopilot rules you set.

Last updated: October 2026 · Effective date: October 6, 2026 · Operator: Verdikx LLC

Please read section 17 carefully. It requires disputes to be resolved by binding individual arbitration and waives class actions, unless you opt out within 30 days.

1. Agreement

These terms are an agreement between you and Verdikx LLC (“we”, “us”), which provides Verdikx. By creating an account, installing or using Verdikx you agree to these terms and to our Privacy Policy. If you use Verdikx for a business, you confirm you are authorized to accept these terms for it, and “you” means that business.

2. Business use

Verdikx is a business service for merchants. You must be at least 18 and use it for business purposes, not personal, family or household purposes.

3. The service

Verdikx screens orders for fraud signals, holds fulfillment of orders screened High risk unless you turn this off, applies risk rules you create (including fulfillment holds), handles early fraud warnings and pre-dispute alerts under policies you enable, keeps an evidence history of your orders and connected sources, prepares dispute evidence packets and AI-assisted drafts, submits responses to connected processors when you confirm or when Autopilot rules you turned on allow it, and reviews returns. Available features depend on your plan, the Shopify permissions you approve and the services you connect. Integrations shown as planned are not part of the service until they are released.

4. Your account

Give accurate information, keep your sign-in credentials secure, and tell us promptly about any unauthorized use. You are responsible for activity under your account, including by people you give access to.

5. Your responsibilities

  • Review before you submit. You are responsible for reviewing every draft, packet and file, confirming it is accurate and complete, and deciding whether and how to submit it. If you turn on Autopilot, you are responsible for the rules you set and for responses submitted under them.
  • Screening decisions are yours. Risk scores and refund-abuse signals are indicators, not determinations of fraud. Decide how to treat each order and customer yourself, and do not use the output as the sole basis for decisions that legally or significantly affect a person.
  • Lawful data. You are responsible for having a lawful basis and giving the notices your customers need for the data you make available to Verdikx, and for responding to your customers’ privacy requests. We process your customers’ data on your behalf as described in the processing terms listed in our Trust Center.

6. Acceptable use

You must not, and must not let anyone else:

  • use Verdikx for anything unlawful, fraudulent or deceptive, including submitting evidence you know is false or altered;
  • access or try to access another merchant’s data, or probe, scan or test the security of Verdikx without our written permission;
  • upload malware, or interfere with or overload the service, including by bypassing rate limits;
  • copy, resell or sublicense Verdikx, or reverse engineer it except where the law allows;
  • use Verdikx or Verdikx Network signals to discriminate unlawfully, to decide eligibility for credit, employment, insurance or housing, or for advertising, marketing or anything other than fraud and abuse prevention;
  • use Verdikx to build a competing product.

Our Acceptable Use Policy forms part of these terms and explains these rules in more detail.

7. Your content and data

You keep all rights to your store data and to the files, text and other content you upload or write (“your content”). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit and display your content only as needed to provide, secure and support Verdikx for you, as described in the Privacy Policy. This license ends when your content is deleted, except for copies we must keep by law. We may use aggregated, de-identified operational metrics that do not identify you or any person to keep the service working and improve it.

You confirm you have the rights needed to upload your content and that it does not infringe anyone’s rights. Do not upload content that is unlawful, defamatory, infringing, or that you have no right to share. We may remove content or suspend access that we reasonably believe breaks these terms or the law.

8. AI features

Some features use AI to suggest dispute responses, findings and extracted details. AI drafts are suggestions only. They may be incomplete, inaccurate or unsuitable, and they are not legal advice. You review, edit and decide whether to submit them, and you are responsible for what you submit, including under Autopilot rules you set. We do not guarantee any result from AI output.

9. No guarantee of outcomes

Dispute outcomes are decided by card networks, banks and payment providers, not by us. We do not guarantee that any chargeback or dispute will be won, that any amount will be recovered, that any fraudulent order will be detected, or that legitimate orders will not be flagged. The first-month refund guarantee in section 10 refunds a subscription fee; it does not change this section.

10. Subscriptions, trials and cancellation

  • Automatic renewal. Paid plans are monthly or yearly subscriptions. For a Shopify store they are billed through Shopify Billing and shown on your Shopify invoice; for an account created on verdikx.com they are billed by card (or bank transfer on yearly plans) through Stripe, and Stripe Checkout shows the price, trial length and renewal terms before you subscribe. Your subscription renews automatically each month or each year, as you chose, at the price you approved until you cancel. Yearly plans cost 20% less than twelve monthly payments.
  • Free trial. Each plan starts with a 7-day free trial, once per store: a store that has already had a free trial (including after reinstalling Verdikx) is billed from the day it approves a new plan. You are not charged during the trial. Unless you cancel before the trial ends, the subscription continues as a paid plan at the price shown when you started. Before you start, Shopify shows the plan, price and trial length for your approval, and your Billing page shows the date of the first charge.
  • Cancel anytime, as easily as you signed up. Open Billing in Verdikx, choose Cancel plan and confirm. No call, email or retention offer is required. You can also cancel by uninstalling the app from Shopify. Cancellation stops future charges, and the Billing page tells you before you confirm exactly when access ends and any credit you will receive. Monthly plans and trials keep access until the end of the period already paid for (or the end of the trial).
  • Accounts billed by card (Stripe). One free trial per account. Cancel anytime in Verdikx under Billing, Manage billing: the plan stays active until the end of the period you have paid for and you are not charged again; that period is not refunded except where required by law. Switching plans mid-period is prorated by Stripe on your next invoice. Price increases are notified at least 30 days in advance and apply from your next renewal.
  • Usage limits and fair use. Each plan includes monthly usage limits described on our pricing page and in Billing (for example, a number of orders screened per store each calendar month). Features described as unlimited are subject to fair use, meaning use consistent with the normal operation of a single business of the size the plan is designed for. AI features (drafts and regenerations, the contradiction finder, risk explanations, AI reading of forwarded emails and the assistant) have monthly fair-use allowances per store that normal use does not reach; if a store reaches one, that AI feature pauses until the next calendar month while the rest of Verdikx, including writing and submitting your own responses and rules-based risk explanations, keeps working, and the app tells you when it resumes. We do not charge for usage above a limit. If you reach a limit, we may, after notice in the app, pause the affected feature for new activity until the next month or until you change plans. Limits do not cause us to cancel or hold your orders, and they do not restrict access to your existing disputes, evidence or submissions. We may adjust limits for future billing periods with notice under the price-change terms below.
  • Custom agreements. Any custom terms apply only by separate written agreement with us, and a Shopify store is always billed through Shopify. Where such an agreement conflicts with these Terms, the agreement controls for the matters it covers.
  • Price changes. We will give you at least 30 days’ notice of a price increase, and Shopify asks you to approve the new price before it applies.
  • Refunds and taxes. If you cancel a yearly plan before the year ends, you receive a prorated credit on your Shopify bill for the unused time. Your first paid month can be refunded under the first-month refund guarantee below. Apart from that, other fees already charged, including partial months, are not refundable except where required by law or Shopify’s billing terms provide otherwise. Prices exclude taxes, which are charged as Shopify Billing requires.

First-month refund guarantee

If Verdikx isn’t worth it to you in your first paid month, we’ll refund that month. You don’t need to give a reason. This applies despite the refund terms above, including those for accounts billed by card, on these conditions:

  • What is refunded. The Verdikx plan fee for your first paid month: your first monthly charge or, on a yearly plan, one month’s share of your first yearly charge (the yearly price divided by 12). The rest of a yearly plan follows the cancellation and refund terms above.
  • When and how to ask. Within 30 days of your first paid charge: the first charge after your free trial ends, or your first charge if your store had no free trial left. Email support@verdikx.com, or use Request first-month refund in Billing, and tell us which store it is for.
  • Cancel the plan. The refund is for stores that are leaving. Cancel your plan in Billing (or uninstall the app from Shopify) before or when you ask; we issue the refund once the plan is cancelled. Cancelling works as described above.
  • Who it covers. One refund per store, ever, including after reinstalling Verdikx, and one per account billed by card. Self-serve plans only (Starter, Growth, Pro): not Enterprise plans or other agreements made with us directly, and not development-store test charges, which are never billed. A store gets either this refund or a free month we offer when it cancels, not both.
  • How it is paid. To the original payment method, through the provider that billed you: Shopify for a Shopify store (the refund appears on your Shopify invoice), or Stripe for card billing. We aim to issue it within 5 business days of confirming your request and email you when it is issued; your bank or card issuer may take a few more days to show it.
  • What it is not. A refund of the Verdikx subscription fee only. It is not a guarantee of results: banks and card networks decide disputes, and the refund does not depend on whether you win or lose one (section 9). It does not reimburse chargebacks, chargeback or processor fees, lost goods or any other loss.
  • Fair use. We may decline a request that abuses this guarantee, for example a store or account opened again to get another refund. Nothing here limits a refund you are entitled to by law or under Shopify’s billing terms.

11. Shopify and third-party services

Verdikx depends on Shopify and on services you choose to connect (such as payment processors, help desks and carriers). Their terms govern your use of them, and we are not responsible for their availability, decisions or changes to their APIs.

12. Availability and changes to the service

We work to keep Verdikx available but do not promise uninterrupted or error-free service. We may change or discontinue features; if we make a material change that reduces core functionality of a paid plan, we will give reasonable notice.

13. Termination

You may stop using Verdikx and cancel at any time. We may suspend or terminate your access if you materially breach these terms (including section 6), fail to pay, create a security or legal risk, or if required by law or by Shopify. Where reasonable we will give notice first. When your access ends, data is deleted as described in the Privacy Policy; download any evidence packets you need first. Sections 7 (license limits), 8, 9, 14 to 18 and any accrued payment obligations survive termination.

14. Disclaimers

To the maximum extent permitted by law, Verdikx is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

15. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, chargebacks, fees or data, even if advised they were possible; and
  • our total liability for all claims relating to Verdikx or these terms is limited to the amount you paid us for Verdikx in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud.

16. Indemnification

You will defend, indemnify and hold harmless us and our officers, employees and agents from claims, losses, damages and costs (including reasonable legal fees) brought by third parties that arise from your content, the evidence and responses you submit, your use of Verdikx in breach of these terms or the law, or your handling of your customers’ data. We will notify you promptly of a claim and let you control its defense, but you may not settle a claim that imposes obligations on us without our consent.

17. Dispute resolution: arbitration and class-action waiver

  • Talk to us first. Before starting a claim, send a written notice describing the dispute to support@verdikx.com. We will try to resolve it informally for 30 days.
  • Binding arbitration. Any dispute that is not resolved informally and that relates to Verdikx or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in New Jersey or, if both parties agree, by video. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.
  • Exceptions. Either party may bring an individual claim in small-claims court, or ask a court for an injunction to protect intellectual property or stop unauthorized access to the service.
  • Class-action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, consolidated or representative action, and the arbitrator may not combine claims of more than one party. If this waiver is found unenforceable for a claim, that claim must proceed in court under section 18, not in arbitration.
  • 30-day opt-out. You may opt out of this arbitration agreement by emailing support@verdikx.com within 30 days after you first accept these terms. Include your name, your store domain and a statement that you opt out of arbitration. Opting out does not affect any other part of these terms.

18. Governing law and venue

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any claim not subject to arbitration must be brought only in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction.

If you believe content in Verdikx infringes your copyright, send a notice to support@verdikx.com (postal address: 111 Town Square Place, Suite 1201, PMB 1270, Jersey City, NJ 07310) with: your contact details; a description of the work; where the content is located; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner; and your physical or electronic signature. We may remove the content and will terminate repeat infringers where appropriate.

20. Changes to these terms

We will post updated terms with a new “last updated” date and give at least 30 days’ notice of material changes in the app or by email. Changes do not apply to disputes already notified under section 17. Continuing to use Verdikx after changes take effect means you accept them; if you do not agree, cancel before then.

21. General

These terms, with the Privacy Policy and any order or plan you approve, are the entire agreement between us about Verdikx. If a provision is unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.

22. Verdikx Network terms

The Verdikx Network is optional and off until you join it in Settings by agreeing to this section for a store. We record the version of these Network terms and the date you agreed. These terms apply to each store while it participates.

  • What is shared. While your store participates, Verdikx records fraud outcomes from it: chargebacks, disputes you won, refund abuse flagged by Verdikx, and orders that reached 120 days without a dispute. Each outcome is tied only to one-way keyed hashes (HMAC-SHA256, with a key held only on Verdikx’s servers) of the buyer’s normalized email, phone number, shipping street and postal code, billing name and postal code, card BIN and last four digits, and IP address range. No raw customer details, order contents, amounts, your own order decisions or your blocklists are shared, and other stores never learn which store reported an outcome.
  • What you receive. Aggregate, time-decayed counts of outcomes that other participating stores reported for the same buyer, shown as screening reasons and risk-rule values only when at least three other participating stores reported the same kind of outcome. Receiving signals requires the Growth plan or above. Only participating stores contribute or receive.
  • Purpose limitation. You may use network signals only to prevent fraud and abuse on your own store’s orders and returns. You must not use them, or let anyone use them, to decide a person’s eligibility for credit, employment, insurance, housing or any other purpose covered by the US Fair Credit Reporting Act or similar laws, for advertising or marketing, to discriminate unlawfully, or to try to identify a buyer or another store.
  • Your responsibilities. You confirm you have a lawful basis to share these fraud outcomes for fraud prevention, and you will tell your customers in your privacy notice that order and outcome data may be shared with fraud-prevention services. Network signals are indicators, not determinations of fraud: review flagged orders before acting, and do not use a signal as the sole basis for a decision that legally or significantly affects a person (section 5).
  • Data minimisation and retention. Only keyed hashes and outcome types are stored. Hashed identifiers captured at screening are kept for up to 200 days so later outcomes can be attributed; outcome events lose weight over time and are deleted after three years; rows under a retired hashing key are deleted. A customer redaction request deletes that customer’s network events from your store.
  • Leaving. You can leave at any time in Settings. Leaving takes effect immediately: your store stops contributing and receiving signals, and the outcomes it contributed are deleted. Uninstalling or deleting your account has the same effect.

Details are in the Privacy Policy.
