1. These terms
These terms are an agreement between you (the “partner”) and Verdikx LLC (“Verdikx”, “we”, “us”) about the Verdikx affiliate program. You accept them when you apply to the program through PartnerJam or Shoffi. The affiliate platform you use has its own terms for its service, and they apply alongside these. If you apply for a business, you confirm you can accept these terms for it.
2. Joining
- We review every application by hand and may accept or decline any application without giving a reason.
- Give accurate details about yourself and how you plan to promote Verdikx, and keep them current on the platform.
- You may leave the program at any time by leaving it on the platform or telling us.
3. What you earn
- Rate. 25% of the net subscription revenue we receive from each store you refer.
- Recurring charges only. Commission is paid on the store’s recurring Verdikx subscription charges (monthly or yearly plans). It is not paid on usage charges, one-time charges or taxes.
- Net revenue. Net subscription revenue is what Verdikx actually receives for those charges after the platform’s fees (such as Shopify’s revenue share), refunds, credits, chargebacks and taxes.
- For 12 months. Commission covers the referred store’s first 12 months on a paid plan, counted from its first paid charge. The free trial is not a paid month, and nothing is earned on a store that never pays.
- Referred store. A Shopify store that installs Verdikx through your partner link and that PartnerJam or Shoffi attributes to you. A store that was already a Verdikx customer when it clicked your link is not a referred store.
- No guaranteed earnings. What you earn depends on the stores you refer and the plans they keep. Current prices are on our pricing page (Starter $29, Growth $79, Pro $199 a month).
4. One commission per store
Each store earns one commission, for one partner. If a store is referred through both platforms, or by two partners, the first attributed referral wins. A store credited through another Verdikx referral program, such as the in-app store referral, does not also earn a partner commission. Where records disagree, our records of the install and the platforms’ attribution decide, and we will explain our decision if you ask.
5. What does not earn commission
No commission is paid, and commission already paid may be reversed, for:
- your own store, a store you own, control or work for, or any other self-referral;
- installs that come from coupon or deal sites, or from paid search ads that bid on “Verdikx” or misspellings of it;
- spam, including unsolicited email, messages or comments;
- fake reviews or ratings, for Verdikx or anyone else;
- incentivised installs, where a merchant is paid, rewarded or given part of your commission to install;
- fake stores, or any attempt to manipulate attribution.
If we find any of these, we may withhold or reverse the commissions involved and remove you from the program.
6. Payouts
- When. Monthly, in US dollars, once your balance is at least $50. A smaller balance carries over to the next month.
- Cleared payments only. Commission on a charge becomes payable after the referred store’s payment has cleared and any refund window for it has passed (for example, a store’s first paid month can be refunded on request within 30 days). If a charge is refunded or reversed after we paid commission on it, we may deduct that commission from later payouts.
- Shoffi. Shoffi pays through its own payout process.
- PartnerJam. Verdikx approves each payout by hand, then PartnerJam pays it.
- Taxes. You are responsible for taxes on what you earn. The platforms may ask for tax or payment details before paying you.
7. How you promote Verdikx
- Disclose the relationship. Say clearly, near your link and in words people will notice, that you earn a commission if they sign up, as the US Federal Trade Commission’s Endorsement Guides and similar laws require.
- Stick to the facts on verdikx.com. Make only claims that our website supports. Never promise or imply guaranteed win rates, recovery amounts or other results: banks and card networks decide disputes. Use our current prices and plan names.
- Speak for yourself. Do not present yourself as Verdikx or as speaking for us, and do not register domains, social accounts or app listings that use the Verdikx name.
- Follow the rules where you post. Follow the law, the rules of Shopify and of every site, community and ad platform you use, including email and messaging laws such as CAN-SPAM.
- Brand. You may use the Verdikx name and the logos from our brand kit to promote Verdikx under these terms. Do not change the logos or use them in a way that suggests we endorse something we don’t.
8. Our relationship
You are an independent partner. Nothing in these terms makes you our employee, agent or joint venturer, and you may not make commitments for us.
9. Changes and ending the program
We may change these terms or end the program by giving notice by email or through PartnerJam or Shoffi. Changes apply from the date in the notice and do not reduce commission already earned on payments made before it. If we end the program or your participation for a reason other than a breach of these terms, we pay commission earned up to that date under section 6.
10. Liability and law
To the extent the law allows, the program is provided as is, neither party is liable to the other for indirect or consequential losses, and our total liability under these terms is limited to the commission owed to you. These terms are governed by the laws of the State of New Jersey, and claims about them are heard in the state or federal courts located in New Jersey.
